These Terms & Conditions govern the services provided by Zimplify (“we”, “us”, “our”) to the client (“you”, “your”).
By purchasing or using any of our services, including website design, development, hosting, maintenance, or website care services, you agree to these Terms & Conditions.
All invoices are payable within 7 days unless otherwise stated.
Failure to make payment by the due date may result in service suspension until the outstanding balance is paid.
We reserve the right to charge interest or late fees on overdue invoices where applicable.

If an invoice remains unpaid after the due date, we reserve the right to suspend services associated with the account until the outstanding balance has been settled. This may include:

We also reserve the right to terminate services and remove hosted data if invoices remain unpaid for an extended period.
If services have been suspended due to non-payment, a reactivation fee may apply before services are restored.
This covers administrative and technical work required to restore the service.
Due to the nature of digital services, payments for hosting, maintenance, and development services are generally non-refundable once work has started or services have been provisioned, unless otherwise agreed in writing.
While we take every reasonable measure to maintain website performance, security, and availability, we cannot guarantee uninterrupted service. We are not liable for:

We are not responsible for outages or issues caused by these providers.
We reserve the right to suspend or terminate services if:
Clients may cancel services with 30 days written notice unless otherwise agreed.
The client agrees to provide and maintain appropriate administrative access required for us to deliver services.
If required access is removed or restricted, we cannot guarantee the performance of maintenance, security monitoring, backups, or updates.
We are not responsible for issues caused by access restrictions or changes made by third parties without our knowledge.
The client is solely responsible for all content published on their website, including text, images, videos, downloads, and external links.
The client confirms they have the legal rights to use any content provided to us for use on their website.
We are not responsible for copyright infringement, trademark violations, or illegal content supplied by the client.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of a project or service relationship.
Zimplify will not be held liable for failure or delay in performing services due to circumstances beyond our reasonable control, including but not limited to natural disasters, power outages, internet outages, server failures, acts of government, or other unforeseen events.
We reserve the right to refuse or discontinue services at our discretion if a project or website involves illegal, harmful, or unethical activities, or if the working relationship becomes abusive or unmanageable.
The client agrees to indemnify and hold harmless Zimplify from any claims, damages, liabilities, or expenses arising from the content, materials, or activities associated with the client’s website or services.
Project scope will be defined before work begins. Work outside the agreed scope may be billed separately.
Clients are responsible for providing:
Delays in providing these may delay project completion.
Reasonable revisions are included during the design process. Additional changes beyond the agreed scope may incur extra charges.
Full ownership of the website design and files transfers to the client only after full payment has been received.
Third-party software, plugins, or themes used in the website remain subject to their respective licenses.
We reserve the right to showcase completed work in our portfolio.
Websites are hosted on managed servers optimized for performance and reliability.
Hosting resources such as storage and email accounts are limited according to the selected hosting plan.
While we aim for high uptime, 100% uptime cannot be guaranteed due to factors outside our control.
Backups may be performed regularly; however, clients are encouraged to maintain their own backups where possible.
We are not responsible for data loss.
Hosting services may not be used for:
Accounts may be suspended if these rules are violated.
Upon cancellation of hosting services, clients are responsible for migrating their website and data.
We may retain backups for a limited period (typically 7–14 days) after service termination. After this period, all data may be permanently deleted.
We are not responsible for data loss once services have been cancelled.

Managed hosting does not include regular content updates, design changes, or adding new features unless otherwise agreed.
These may be billed as separate support work.
As part of our managed hosting services, we regularly update WordPress core, themes, and plugins to maintain security, stability, and performance.
While updates are tested and applied with care, updates to third-party software may occasionally cause compatibility issues or unexpected behaviour due to factors outside our control.
If an update results in website issues caused by third-party plugins, themes, or custom code not developed by us, additional troubleshooting or development work required to resolve the issue may be billed separately.
We make reasonable efforts to minimise disruption and will attempt to restore normal functionality as quickly as possible.
Some plans may include access to premium plugins. These licenses remain valid only while the website is hosted with us.
If hosting is cancelled, these licenses may no longer be available.
While we actively monitor and maintain websites under our managed hosting services, no system can be guaranteed to be completely immune from security breaches.
If a website becomes compromised due to vulnerabilities, outdated software, weak passwords, or third-party software, additional work required to restore or repair the website may be billed separately.
We make reasonable efforts to optimise website performance through caching, optimisation tools, and best practices.
However, website speed and performance may also be affected by factors outside our control including third-party plugins, scripts, large media files, or external services.
We cannot guarantee specific load times or performance scores.
Managed hosting includes technical maintenance and monitoring of the website.
Requests involving content changes, design changes, new features, or development work may be billed separately unless included in a separate support agreement.
Maintenance services for websites hosted outside our infrastructure are provided on a best-effort basis.
We cannot guarantee performance or stability where we do not control the hosting environment.
Domains registered through us remain the property of the client once fully paid.
Clients are responsible for ensuring domains are renewed before expiration unless a managed renewal service is provided.
Failure to renew may result in permanent domain loss.
Domain transfers can be arranged upon request and may incur additional fees.
We reserve the right to update these Terms & Conditions at any time. Updated versions will be published on our website.
